2. Purpose

The purpose of these Terms of Use (Terms) is to define the contractual relationship between ValueGuard and the User regarding access to and use of the LookID Service.

ValueGuard reserves the right to make changes to the LookID Service, and consequently to the Terms, at any time. Any change takes effect from its publication or, where applicable, from any other date indicated in any special conditions applicable to the LookID Service. ValueGuard will inform Users of any change to the Terms. It is nevertheless the User's responsibility to consult the latest version available on the LookID Service.

If the User disagrees with the new provisions of the Terms, the User undertakes to stop using the LookID Service and to close their LookID Account as set out in the section: Termination of the LookID Account at the User's initiative.

3. Use

A "User" is any natural or legal person who registers on the Site www.lookid.com or through the LookID mobile app and/or uses the services offered by LookID.

Being a User entails the irrevocable and definitive acceptance by each User of all of the Terms of Use and of any Special Conditions. Any breach of these rules may result in the closure of the account and the immediate and future refusal of access to all or part of the Site. These conditions prevail over any other general or special conditions not expressly approved by ValueGuard.

4. Description of the service

As part of the LookID Service, the User benefits from various features. Some of these features are only available through the App.

  • Creating assets or items
  • Storing data and documents relating to assets and items
  • Certifying assets or items
  • Checking the existence of assets or items
  • Identifying assets or items (ID / 2D code / NFC chip)
  • Sharing data relating to assets or items
  • Requesting insurance quotes
  • Importing invoices and documents from a Linked Mailbox, under the conditions of article 7
  • Creating the LookID Account and signing in with a third-party account, under the conditions of article 6.2

5. Prerequisites and capacity

The LookID Site is open to all and intended for the general public as well as for professionals.

LookID allows its services to be used either as a Private individual or as a Professional.

Accessing the Site requires an Internet connection (any related costs are borne by the User). All necessary equipment is required, in particular a computer and any connection tool allowing access to the Internet and the downloading of Content. A broadband connection of at least 500 kB/s is normally required. The Site is optimised for a 1024*768 display and for the browsers commonly available on the market. Compatibility of the Site with any other configuration cannot be guaranteed. Where use of the Site requires downloading specific software, the User undertakes not to install, copy or use that software before having first agreed to the terms of its licence.

Except in the cases of force majeure referred to herein, ValueGuard undertakes, under an obligation of means, to ensure the availability of and access to the Site, the App and the LookID Service 24 hours a day, 7 days a week. Nevertheless, testing, monitoring and/or maintenance operations, as well as the interventions required in the event of a breakdown, may be carried out by ValueGuard at any time. ValueGuard endeavours, as far as possible, to give notice of such operations. ValueGuard cannot be held liable for any resulting consequence for any User.

The User acknowledges that ValueGuard can in no way be held liable for the functional characteristics and technical performance of the Internet. Likewise, every User remains responsible for their actions on the Internet as regards the use of their data on open networks.

The User undertakes not to hinder the proper functioning of the Site, the App and the LookID Service, in particular by transmitting any element likely to contain a virus or otherwise likely to damage or affect the Site and/or the App and/or the LookID Service.

It is up to every User to take all appropriate measures to protect their data, software and/or Content against any harm or damage.

In particular, when using the App on smartphones or tablets, the User undertakes not to modify the operating system of the device in a way that may affect its security (in particular jailbreaking or rooting). In such a case, ValueGuard cannot guarantee the security of the Documents transmitted to or from the LookID Account.

The equipment costs and expenses required to use the Site, the App and the LookID Service are and remain the responsibility of the User.

6. Registration conditions

Registration for the LookID Service is free of charge and requires the express acceptance of the LookID Terms, whatever the device used (computer, tablet, smartphone…).

Registering for and using the LookID Service require full legal capacity. The User certifies that they are 15 years of age or older. If the User is under 15, they certify that they have the consent of their parents or of any other person holding parental authority. Consequently, acts performed by minors under 15 are carried out under the responsibility and supervision of their legal guardian.

6.1. Information to provide on the registration form

The information provided by the User on the registration form must be accurate, truthful and up to date. The User undertakes, in this respect, to notify any change affecting their information through the app. The User is solely responsible for the consequences of failing to update their personal information and expressly acknowledges that ValueGuard cannot be held liable in the event of false statements regarding their identity.

The User is encouraged to provide a personal, rather than professional, email address and telephone number as their identifier, in order to receive notifications from the LookID Service and to be contacted if needed.

While the User's first and last names are displayed on their profile, the exact postal address, email address and, where applicable, mobile number are not displayed publicly on the site. However, when an asset record is searched for or shared, the Users' contact details may be displayed according to the settings chosen by the User, which Users expressly accept.

ValueGuard reserves the right to cancel the registration in the event of missing and/or inaccurate required information and cannot be held liable for being unable to honour the registration in that case.

At the end of the registration process, the User is invited to continue after the notice "By clicking "Sign up", you accept the LookID terms of use".

When the User continues the procedure after the above notice at the end of the registration process, the User irrevocably declares that they knowingly accept the registration with LookID and all of the Terms of Use applicable to that registration, fully and without reservation.

Following this step, LookID sends, as soon as possible, to the email address provided by the User, a registration validation email containing a link to click in order to certify their email address. Once the User has completed this step, a registration confirmation is sent to them by email, presenting the registration confirmation link.

6.2. Access to the LookID Service

Access to the LookID Service is protected by a username / password pair. It is up to the User to choose a sufficiently strong password to prevent any fraudulent access to the LookID Service and to renew it regularly. Choosing a password unique to LookID, not used for other Internet or mobile services, improves the level of security of the LookID Service.

If the User has enabled two-step access to the LookID Service, a one-time code will be received by SMS at each authentication. This code must be entered in the screen provided for that purpose.

Confirmed devices and browsers will be recorded and recognised by LookID.

For security purposes, the User may be asked to re-authenticate on the LookID Service with their username / password pair.

The User may also create their LookID Account or sign in to it with a third-party account offered by the LookID Service. The providers offered are indicated in the LookID Service and in the Personal Data Use Policy; at the date hereof, they are Google and Apple. In this case, authentication is performed by the provider of the third-party account, which sends ValueGuard the User's email address, name and a technical identifier, but never their password. This sign-in gives the LookID Service no access to the provider's other services, and in particular no access to the User's email, which is governed exclusively by article 7. The User remains subject to the conditions of the third-party account provider for the use of that account, and ValueGuard cannot be held liable for the unavailability, suspension or closure of that third-party account. The User may withdraw the authorisation granted at any time from the settings of their third-party account; it is then up to the User to set a LookID password to keep access to their LookID Account.

In the App, authentication may be performed by fingerprint, facial recognition or any other means offered by mobile device manufacturers. In that case, the User is informed that authentication is performed directly on their device and that no biometric data is communicated to ValueGuard. As this feature is not under ValueGuard's control, the User remains solely responsible for choosing whether or not to use it. ValueGuard cannot in any way be held liable for malfunctions or flaws affecting this authentication method.

7. Import from a Linked Mailbox

7.1. Optional nature and activation

The LookID Service allows the User to link an email mailbox to their LookID Account so that the LookID Service automatically searches it for invoices and documents relating to their assets and items (purchase invoices, maintenance invoices, user manuals, warranty or maintenance contracts) and offers to add them to their LookID Account.

This feature is optional. It is only activated by an express action of the User, who authorises the LookID Service with their email provider through that provider's consent screen. The LookID Service only requests read access to messages and their attachments. It requests no permission to send, modify or delete messages, nor any access to the User's contacts or calendar.

The data accessed, kept and shared as part of this feature, the retention periods, the processors and the ways of withdrawing access are described in the Personal Data Use Policy, which forms an integral part of these Terms. The processing is based on the User's consent, which they may withdraw at any time by disconnecting the Linked Mailbox.

The list of supported email providers is set out in the Personal Data Use Policy. ValueGuard may change it at any time.

7.2. User's warranties

The User warrants that they are the holder of the Linked Mailbox or that they have the necessary authorisation to link it to the LookID Service. In particular, when linking a work mailbox or a mailbox shared with other people, it is up to the User to make sure that they are authorised to do so by their employer, by the holder of the mailbox or by the other people concerned, and to comply with the rules of use applicable to that mailbox.

The User is informed that, when the same mailbox is linked to several LookID Accounts, the same invoices and documents are offered to each of those accounts.

The User undertakes not to link a mailbox in order to access documents concerning assets of which they are neither the owner nor the legitimate holder.

7.3. Nature of the proposals

The invoices and documents found in the Linked Mailbox, as well as the information extracted from them (description of the asset, category, brand, model, serial number, price, date, seller), are obtained by automated processing, including analysis tools based on artificial intelligence. They are presented to the User as proposals.

No proposal is added to the LookID Account without the User's express approval. It is up to the User to check each proposal and the extracted information before approving it, to correct it if necessary, or to ignore it. Once approved, the imported documents become Content within the meaning of these Terms and are subject to articles 8 and 9. Assets and items created from a proposal are subject to the same rules as assets and items created manually.

The LookID Service applies operating rules intended to limit proposals to relevant documents, in particular a message history depth, a maximum number of documents analysed per pass and a minimum amount below which a purchase is not proposed as a new asset. These rules are indicated in the LookID Service and may be changed by ValueGuard at any time without this constituting a change to these Terms.

Proposals not approved by the User are deleted at the end of the period indicated in the Personal Data Use Policy.

7.4. Disconnection

The User may disconnect the Linked Mailbox at any time from the settings of their LookID Account, or withdraw the authorisation granted from the settings of their email provider. Disconnection ends the automatic searches and results in the revocation and erasure of the access tokens, as well as the deletion of proposals not approved. The assets, items and Content approved by the User are kept in their LookID Account.

7.5. Suspension and changes

ValueGuard reserves the right to suspend, for one User or for all Users, the import from a Linked Mailbox feature, in particular when the email provider withdraws or modifies the access granted to the LookID Service, when the conditions of use or verification imposed by that provider are no longer met, for security reasons, or in the event of a breach of these Terms by the User. Such a suspension gives no right to any compensation and does not affect Content already approved.

Access to the Linked Mailbox depends on the services and technical interfaces provided by the User's email provider, which are not under ValueGuard's control. ValueGuard cannot be held liable for the unavailability, limitations or changes of those services, nor for the consequences of an expiry or revocation of the authorisation granted by the User.

8. Protection of Content

ValueGuard ensures the protection, security and confidentiality of Content. However, in the event of a security alert (anti-virus check, etc.) or a request from an authority (administrative, judicial, etc.), ValueGuard reserves the right:

  • to keep, as evidence, any Content that does not comply with the rules set out herein, as well as any logs or connection traces attributing the management or control of that Content to the User, in accordance with the Terms;
  • to keep, as evidence, any logs, connection traces or personal or non-personal data proving that the conduct or actions in question are attributable to the User, in accordance with the Terms;
  • to modify, reject and/or remove access to any Content that does not comply with the rules set out in the Terms;
  • to apply the provisions defined in the article: Termination – Breach – Suspension.

In addition, ValueGuard monitors and traces the operation of the LookID Service. Each operation is thus timestamped and recorded.

9. Liability

9.1. ValueGuard's liability

ValueGuard cannot be held liable for any unauthorised access by a third party to the User's account if that access occurs after the third party has obtained the access code or access to the email address linked to the User's account. In such a case, if the User requests that access be blocked, access to the account will be temporarily suspended by ValueGuard until it issues a new access code.

ValueGuard gives no warranty as to the ability of the Site and/or the App and/or the LookID Service to meet any particular expectations or needs of the User. Likewise, ValueGuard is not able to guarantee the absence of errors or other operating or usage problems while using the Site and/or the App and/or the LookID Service.

ValueGuard accepts no liability for the Content received on or sent from the User's LookID Service. Likewise, the User remains solely responsible for any assessment of its legal value by any administration or court. The technical processing applied by ValueGuard to a Document therefore only constitutes a guarantee as to the origin, upload date and integrity of the Documents.

As regards the import from a Linked Mailbox referred to in article 7, ValueGuard is bound by an obligation of means. ValueGuard guarantees neither that all invoices and documents present in the Linked Mailbox will be found, nor the accuracy or completeness of the automatically extracted information, nor that a document will be attached to the right asset or item. The User, who approves each proposal, remains solely responsible for the information and Content thus added to their LookID Account, and for their use with third parties, in particular an insurer, a buyer or an administration.

ValueGuard is in no way responsible for Content it does not host nor for information communicated by the User to the public and/or to other Users. ValueGuard, as a technical service provider, in particular as host of the User's Content, cannot be held liable for activities or information stored at the request of a User if it did not actually know of their unlawful nature or of facts and circumstances revealing that nature or if, as soon as it became aware of them, it acted promptly to remove that information or make access to it impossible.

In this respect, ValueGuard reserves the right to remove or suspend access to any Content following receipt of a notification as defined in the article: Protection of Content, or if it actually knows of the manifestly unlawful nature of the Content. ValueGuard can in no case be held liable for such removal.

In no event is ValueGuard liable for indirect damage such as, in particular: financial or commercial loss, loss of customers, any commercial disturbance, loss of profit, damage to brand image, loss of data and/or computer programs suffered by the User that may result from the non-performance of these Terms. Furthermore, ValueGuard will in no event be liable for damage resulting, even partially, from the total or partial non-performance of its obligations by the User, or for any indirect damage, even if it was aware of the possibility of such damage occurring.

9.2. User's liability

The User is responsible for their conduct and for the Content, including towards third parties, for example when sharing Content.

The User guarantees the security of their identification details and credentials (login, password). They acknowledge that any use of the Site and/or the App and/or the LookID Service is presumed to be made by them and will be attributed to them, unless the User proves otherwise.

The User undertakes:

  • not to store or make available any content that is illegal or contrary to the regulations and law in force, such as, in particular, child pornography, content likely to undermine human dignity and respect for the human person, or insulting or defamatory content, etc.;
  • not to make available any unlawful Content or Content contrary to public decency;
  • not to make any illegal or unlawful use of the LookID Service;
  • not to create a hyperlink to any website that does not comply with the above principles;
  • to inform ValueGuard without delay, by any means, of any error, fault or irregularity they notice in the use of the Site and/or the LookID Service, as soon as they become aware of it; in particular, the User undertakes to delete any documents that do not belong to them, with the help of LookID customer service if needed;
  • generally, not to use the LookID Service in a way that may harm ValueGuard.

ValueGuard reserves the right to terminate the LookID Service at any time as defined in the article: Term – Modification – Termination: Termination at ValueGuard's initiative.

10. Intellectual property

The technology and software underlying the LookID Services, as well as the LookID Site, and in particular its look and feel (including graphic charters, tabs, features, etc.) and its content (including images, logos, illustrations, photos, texts, etc.), are the exclusive property of ValueGuard.

ValueGuard grants the User, for as long as their account exists, a limited, non-transferable and non-exclusive right of use. All intellectual property rights remain the property of ValueGuard.

The User undertakes not to copy, modify, improve, translate, rent, lease, sell, assign, distribute, decompile, reverse-engineer, grant a security interest in or otherwise transfer any right relating to the LookID Services.

Any reproduction, representation or exploitation of any kind, by any process and for any purpose, of all or part of the LookID Services and/or the LookID Site, and in particular of its structure and/or content, without the prior written authorisation of ValueGuard, will give rise to the civil and/or criminal penalties provided for by law.

The User also undertakes to inform ValueGuard of any infringement or counterfeiting of those intellectual property rights by third parties as soon as they become aware of it.

11. Protection of personal data

11.1. Privacy policy

ValueGuard's "Personal Data Use Policy", as well as the provisions of the "Legal Notice", form an integral part of these conditions. By accepting these conditions, the User declares that they also accept the terms of those documents. They are available at the following address: https://www.lookid.com/en/privacy-policy.

In addition, the site lookid.com uses cookies to improve the User experience, make navigation easier and measure the use of our services.

Please note, however, that some sections of the site may not work without cookies.

11.2. Retention of the User's data by LookID

The personal data collected is processed under the responsibility of ValueGuard, as data controller, in accordance with the regulations on the protection of personal data.

This personal data is processed in order to provide various services to the LookID User (authentication, storage and security of content, import from a Linked Mailbox) and is necessary for the performance of the service.

It is hosted in the European Union. Some automated processing, in particular the analysis of invoices and documents found in a Linked Mailbox, may be entrusted to processors established outside the European Union, under the conditions and with the safeguards described in the Personal Data Use Policy.

11.3. Access to the User's data

The User's Personal Data will not be shared with or communicated to third parties that are not involved in the processing associated with the LookID Service.

11.4. Retrieving Content

The LookID Service allows the User to retrieve the Content they have archived in their LookID Account.

This content can be downloaded from the LookID Service.

12. Force majeure

Any circumstances beyond the will and control of ValueGuard preventing the performance of its obligations under normal conditions are considered grounds for exemption from its liability and result in the suspension of the performance of its obligations.

In addition to those usually recognised by case law, force majeure includes any irresistible, external, unforeseeable and insurmountable facts or circumstances beyond ValueGuard's control, such as, in particular, decisions of the Administrative Authority, disruptions, blockages or outages of telecommunication networks, disruptions, blockages or outages of the Internet, attacks or viruses affecting computer networks, failure of the equipment broadcasting the LookID Service, fire, water damage, blockage of means of transport or supply, and total or partial strikes.

Each party must inform the other as soon as possible of the occurrence of a force majeure event preventing it from performing all or part of its obligations. Force majeure suspends the performance of the obligations under these Terms for as long as it lasts. If the force majeure event continues uninterrupted for one month, either party may terminate the service in progress eight (8) days after notifying that decision by any means.

13. Independence of the parties

ValueGuard and the Users are independent parties, each acting in its own name and on its own behalf. These Conditions therefore create no relationship of subordination, agency, mandate, joint venture, common enterprise, employer/employee or franchisor between ValueGuard on the one hand and the User on the other.

14. Governing law and jurisdiction

These Terms are governed by French law.

Any dispute relating to the Service and/or the use of the Site and/or the interpretation and/or performance of the Terms that may arise between a User and ValueGuard will be submitted to the courts of the User's place of residence if the User is a consumer, or to the exclusive jurisdiction of the courts of the place of ValueGuard's registered office (GUIPAVAS) in all other cases.
